Bakgrund: För att skydda de aktieägare som berörs av uppköpserbjudanden finns detregler för processerna kring dessa. I vissa av dessa uppköpserbjudanden kräverreglerna att målbolaget inhämtar en så kallad Fairness opinion där en oberoende partska uttala sig om budets finansiella skälighet för aktieägarna. Skeptikerna tillutlåtandet är många men forskningen på den svenska marknaden, obefintlig. Mycketav kritiken som lyfts fram gäller utgivarnas oberoende och revideringen av takeoverreglerna,som kom år 2009, skärpte kraven kring just oberoende, vilket aktualiserarfrågan kring hur dessa regler fungerar och hur oberoendet ser ut på den svenskamarknaden.Syfte: Syftet med denna studie är att undersöka rollen och framtiden för Fairnessopinion, på målbolagets sida, vid offentliga uppköpserbjudanden på den svenskaaktiemarknaden.Genomförande: Studien är av explorativ karaktär och inkluderar 14 kvalitativaintervjuer med utgivare av Fairness opinion och andra intressenter med erfarenhet avutlåtandet samt en sammanställning av offentliga uppköpserbjudanden på den svenskamarknaden under åren 2007-2012.Slutsats: Revideringen av takeover-reglerna, år 2009, har haft stor påverkan påmarknaden och bidragit till en ny syn på utgivarnas oberoende och en prispress påFairness opinion. Reglerna lämnar dock en del att önska och vi anser att man börinföra en begreppsmässig distinktion kring utlåtandets användning i olika situationersamt en ökad transparens i utlåtandet för att öka värdet för aktieägarna.Nyckelord: Fairness opinion, uppköpserbjudanden, takeover-regler,värderingsutlåtande, företagstransaktioner.

In my essay, I will start with a story that represents my dilemma from my own experience. In the story, dealing with children that challenges teachers and other children in preschool, I wonder how I as a teacher can be fair and inclusive when I feel insufficient on several occasions. I reflect on my own approach because it can be difficult when we encounter children with different needs and abilities in preschool.I write the essay in experience-based essay form. The essays form makes it possible for me to reflect on my own experience and by using selected theoretical perspectives processing my dilemma. In my essay, I explore my own approach, what is meant by Fairness and how the concept can be interpreted and how I can in the best way include all children in activities.I conclude that Fairness from a perspective can be seen from the five criteria similarity, need, performance, compensation and rights.

Syftet med denna undersökning är att undersöka vad kvalitativ bedömning av kunskaper och färdigheter innebär för lärare samt att hitta variationer i dessa uppfattningar. För att nå vårt syfte har vi använt intervju som metod med en fenomenografisk ansats. Vi har intervjuat tre lärare i en skola som undervisar i år 8 och år 9. Vi har utgått från aktuell forskning. Utifrån denna forskning har vi format en analysmodell som vi använder som en teoretisk ansats i slutresultatet.

This study analyzes how the Swedish climate policy has changed during the years 1990-2008. Thisis done through a comparative analysis of three climate bills that were developed during this period.With a constructivist approach, and theories about discursive indicators and discursive fields,discursive changes in the bills' content are identified. The results show that changes have occurredin how the problem is described, how the issue is framed, which problem solutions that areadvocated, which legitimizing arguments and key concepts that are used and the extent of theknowledge that the bills are based upon. The conclusions drawn from the results describe adiscursive change between the bills in the form of a shift from a discourse that in a greater extentadvocates active policy responses, based on ethical arguments about Fairness towards othercountries and caution towards the environment, to a discourse that more often favor market actionsbased on arguments about the economic viability of Sweden..

Syftet med denna uppsats är att undersöka möjligheter för att genomföra matematikundervisning som tar till vara barns olika förutsättningar. Dessa har identifierats genom att vi kartlagt ett antal hinder, vilka vi fått fram dels genom tidigare forskning inom området och dels genom ett antal kvalitativa intervjuer med förskollärare, grundskollärare och specialpedagog. Några centrala hinder vi fått fram rör lärarnas höga arbetsbelastning, i vissa fall bristfällig ämneskompetens och ett antal yttre faktorer. Implementering av adekvata arbetssätt i förhållande till styrdokumentens mål och intentioner försvåras av ett antal hinder i skolans operativa verksamhet. Genom identifiering av dessa hinder kan nya möjligheter skapas för en gynnsam utveckling av matematikundervisningen..

The liberal state, it has been argued, must be neutral between different conceptions of the good. Embodying ideals such as Fairness and impartiality, state neutrality is intuitively appealing, but working as a restraint for state actions it is somewhat unsatisfactory. People make mistakes about their lives and people live less valuable lives than they could do. To then restrain the state from doing as much good as it can seems just as unappealing as neutrality at first seemed appealing. In this paper, a possible solution to this dilemma is presented.

The need to attract and retain individuals who add value to the organization constitutes an increasing challenge facing human resource professionals. In this context it is essential to establish stronger links between the individuals and the organization they work for. The aim of this study is to explore and discuss the role of ethical core values such as trust, respect, Fairness, and honesty as a critical antecedent to employee commitment. From the perspective of employees, a comparative case study is conducted in two organizations with two different reasons to exist - a profit organization and a non-profit organization. The study concludes that organizations should have a high focus on people's core values when they recruit new employees as well as for educating and training their existing employees and managers.

Managers were interviewed by an interviewguide and the material was analyzed with a manifest content analysis, with an inductive approach.

The purpose of this essay has been to investigate if the national test results, in the subject of Swedish B at upper secondary school, are affecting a student?s final grade in varied degree among different teachers. The purpose has also been to investigate if the assessment of these tests is equivalent among different teachers. This particular investigation showed that there are big differences between how teachers grade, in relation to achieved results on the national test. According to the Swedish National Agency for Education, the teacher should take all performance information available into consideration for each particular student.

In the wake of the latest financial crisis, a group of individuals launched the Occupy WallStreet movement. It wanted to change the structures that economic and political life arefounded upon. They believe that the established structures are unfair and exploit the majorityof the population. Researchers critisised the movement saying it was ambiguous because itcould not produce any realistic ideas for change, while others thought that was a success forthe movement.Therefore, the aim of this Bachelor Thesis is to examine the different ideas articulatedby the Occupy movement and present them systematically. Through an inductive qualitativetext analysis six different themes are identified regarding how the movement wants to changethe structures in society to make them fair.
