Värdering vid tvångsinlösen efter icke-kontanta bud

The purpose of this Master?s thesis is to investigate the legal practice of valuation in arbitration board proceedings concerning freeze-outs after non-cash take-over bids. We find that the most important method for valuing the shares offered in exchange for the shares of a target company is to take the volume-weighted average of the quoted prices of the shares offered in exchange during the acceptance period of the take-over bid. This thesis is a complement to previous studies by Peter Jennergren (1996) and by Andrea Lundqvist and Victor Ludvigsson (2007) of how the Balken case (a freeze-out case that was eventually decided by the Supreme Court of Sweden, in 1996) has affected the legal practice of valuation in freeze-out arbitration board proceedings. We have undertaken an empirical study of 48 freeze-outs between 1985 and 2006 where shares in the Bidding companies were offered in exchange for shares in the target companies.

This Master Thesis within Marketing and Strategy investigates the values customers perceive within the Real Estate market in the inner City of Stockholm. The dependent variable is customer satisfaction, and it could be explained by 1) the feeling of light and uniqueness of the apartment, 2) that the apartment is of a satisfying size, 3) the address of the apartment, 4) and the economics, the common areas of the building, and the Bidding process. The feeling of light and uniqueness, combined with the number of square meters, and the monthly fee of the apartment, are also identified as the price driven functions of this market. Värdering av anbud vid kommunala upphandlingar av byggprojekt

The thesis deals with evaluation of tenders for communal construction procurement. Each year the public procurement equals the value of millions of Swedish kronors, of which construction projects makes up a large proportion. These projects tend to often exceed their budgets. The aim with the thesis is to investigate if there are faults in the tender evaluation process. The theoretical framework for the study partly consists of a review on how the communal evaluation work is described in law and practice.

Background: Mergers and acquisitions have evolved from initially almost exclusively having been an American phenomenon, to becoming a common occurrence throughout the world. Companies though, are not defenseless against hostile bids, but must take many factors into account when selecting defense measures. Purpose: This paper aims to enhance the understanding of acquisitions through hostile bids on the companies studied. More specifically, this study aims to create a deeper understanding in how Scania and Skandia have chosen their defense measures, or could have chosen, before and during their hostile Bidding processes with specific concern for their strategic credibility. Method: This paper is based on two companies listed on the Stockholm Stock Exchange exposed to hostile takeover attempts in a similar time period.

The collected material have been analyzed from a hermeneutical perspective.Result & Conclusions:To some extent the real estate branch works with the establishment of Codes of Conduct to strengthen the confidence. This is shown by increased transparency to increase customers commitment in the Bidding. Fastighetsmäklare : varför så dåligt rykte?

Aim: Many people react negatively when they find out that I work as an estate agent. They believe that estate agents earn more money then they should. What many do not know is how hard we must work and that it doesn´t suit someone who is looking for an 8-17 work. As an estate agent I thought it would be interesting to found out why the estate agents have such a bad reputation.Method: This essay is based on the interviews with estate agents and branch organizations but also on newspaper articles about real estate agents. Theory is collected marketing, where I have concentrate on concepts of branding, positioning, communication and image.Result & Conclusions: The factors, which I found in my investigation, that have an effect to the bad reputation are; media, commission, the customers and the Bidding.

Säkrare budgivning med ny fastighetsmäklarlag?

Mäklarbranschen har varit omskriven i media de senaste åren och förra året presenterades det nya lagförslaget på en ny fastighetsmäklarlag. I dag finns det ingen lag som reglerar mäklarens skyldighet att uppvisa budgivningslista efter avslutad budgivning. Dock säger det nya lagförslaget: ?En fastighetsmäklare ska vara skyldig att dokumentera budgivningsprocessen och att överlämna dokumentationen till köparen och säljaren när överlåtelseavtalet är slutet, den ska också syfta till att hindra mäklaren att presentera luftbud och därigenom pressa upp priset.? Syftet med uppsatsen är att ta reda på om lagförslaget kommer att resultera i tryggare budgivningar. Vi vill även ta reda på hur mäklarna ställer sig till budgivningsförfarandet i den nya lagen samt om deras förtroende kommer att stiga hos presumtiva köpare.

This because these investors can?t find any profitability in many real estate transactions. The valuation between different investors on the same object therefore goes their separate ways. One example of this is a property in central Halmstad which starting price was about 23 million SEK.

Electricity production from renewable energy resources such as wind energy and photovoltaics is variable. Integration of these intermittent resources into the electricity system leads to new challenges in how to manage imbalance between supply and demand on the grid.One way to meet these challenges is to develop so-called smart grid solutions. One idea, called demand response, is to adjust the amount or timing of energy consumption, e.g. by control of household appliances, to provide flexibility that could be used to balance the grid. In aggregate, when applied to many units across the system, large volumes of energy could be made available when needed and this grid flexibility can be used as a product on the electricity regulation market.Despite the potential benefits, the number of demand response bids is currently low.

Budgivningsprocessen vid ett fastighetsköp : lockpriser kontra accepterat pris

Detta är en undersökning som är gjord för att jämföra prissättningen av fastigheter som är till salu i Sverige och Spanien. För att avgränsa oss har vi valt att jämföra Stockholms innerstads prissättning med prissättningen i Palma på Mallorca i Spanien. Lockpris fenomenet har fått hård kritik under den senaste tiden i media. På grund av denna kritik så har många mäklare, speciellt i Stockholms innerstad, gått ihop och arbetar mot att undvika lockpriser och har infört begreppet accepterat pris. Dock kan accepterat pris uppfattas som ett nytt ersättningsnamn på lockpriser.

The great debate topic in media and among real estate agents in spring 2011 wasspecially reduced prices. Specially reduced prices means that a property is advertised at a considerably lower price than the evaluated current market value of the property. This is to attract more bidders in a potential Bidding. It is in this case not completely established by law what is meant by considerably lower price, why this concept is difficult to interpret. Real estate agents got lot of criticism due to the output prices which were too low compared to the final prices.

Processkartläggning avförmedlingsuppdraget : med fokus på förbättringsområden

I denna rapport redovisas för förmedlingsprocessen för småhus med typkod 220 och samtliga moment som ingår från början till genomfört uppdrag. Fokus har riktats på att identifiera förbättringsområden och därigenom hitta åtgärdsförslag. Rapporten skall syfta till att fungera som ett stöd och vara ett vägledande hjälpmedel för såväl fastighetsmäklare som privatpersoner i sin roll som säljare och köpare. Litteraturstudier och handledning har legat till grund för den processkarta som upprättats och illustrerats. Utifrån denna har en förstudie gjorts genom intervjuer med fem verksamma fastighetsmäklare på Fastighetsbyrån i Alingsås.
