Organisationskultur i fusion : en studie av neurologiska kliniken på Karolinska Universitetssjukhuset

Mergers and Acquisitions have become more and more in common knower days among the companies. Factors that might influence could be such as power of competition or it could even be the aim of new strategies of the company. In mergers is it not only the buildings and the physical objects that is put together, also the human beings within the organization are put together. Each person contributes to the culture, which makes the situation more complicated. In making a merger successful, it is important to pay attention to the organizational culture.

This thesis inquires into the process of Mergers and Acqusitions when one company buys another company. The main focus is set on how three different banks handle the process of Mergers and Acqusitions and what results this leads to. These are: Kaupthing Bank, Nordea and Citibank.


Fusion och Organisationskultur : En studie på Skruf Snus AB

Mergers between companies has become more and more common in Sweden and in the rest of the world with the motive to increase the competitive strength in the current markets and has an important role within organisational development of companies. When organisations merger there is not only buildings and objects that are put together but also their individual organisational structures, people, values and cultures. This can be a difficult process and can affect many people in how they think conscious as well as unconscious, feel and react.The purpose of this thesis is to gain a deeper understanding of how employees are affected following a merger when changes in the organisational culture come up, and how these changes are expressed.This thesis is delimited to investigate only one company, Skruf Snus AB and only focus on their business and employees in the region of Stockholm. The thesis contains a qualitative investigation with semi structured interviews that has been carried out with eight employees at Skruf Snus AB. The thesis is partly based on a model of Schein which describes the different levels in organisational culture and partly on some theories about reactions to change in relation to the integration between the employees following a merger.The results of the investigation indicate that with a merger the whole organisational culture is affected and therefore also the employees.

This Bachelor?s thesis focuses on those terms that, from a Swedish perspective, have to be fulfilled to entitle deduction for definitive losses in a cross-border merger situation. The thesis analyses one of the ten rulings from the Swedish Supreme Administrative Court which were published in 2009.The ruling is analysed in the light of the Treaty on the Functioning of the European Union, the merger directive and the Court of Justice rulings in Marks & Spencer and Lidl. The purpose is to examine if the Swedish rules concerning cross-border mergers is compatible with the EU-law. The Swedish rules concerning mergers are found in chapter 37 in the Swedish income tax act.

Out of a theoretical point of view it can be argued that companies need to balance between different coordination mechanisms that result in standardized and flexible coordination respectively. Mergers and acquisitions are common phenomenon in today´s society in order to increase shareholder value. Two years ago a fusion of Sweden´s two largest companies in the industry of real estate took place and even though three out of four mergers and acquisitions financially fail this certain case turned out highly successful. The aim of this thesis is to examine how the organizational structure and the management control have been designed and characterized the organizational performance and furthermore what are the success factors of the integration. By studying an acquisition and its potential effects on organizational structure and management control parallel to a model that describes the best practice guidelines for managers to successfully deliver value from their acquisitions, it can be shown that an acquisition has direct effects both on the acquirer and the acquired company and thus the new organizational structure. The main results, thus, is that through active leadership, increased specialization, and more decentralized and thus efficient management control a new organization has emerged consisting of the best features of two separate worlds..

Syfte: Syftet med denna uppsats är att ta reda på om det var rätt eller fel av Adidas att genomföra sina M&A:s med hjälp av Tobins q och de bakomliggande strategiska motiven.Metod: Metodansatsen för den studien är en fallstudie. Data har samlats in via både kvantitativa och kvalitativa metoder. Vi har valt att undersöka fyra av Adidas nio olika M&A:s sedan mitten av 1990-talet. Due Diligence is today an important part of the transaction process through sales of properties and isan important process for both sellers and buyers. The process intends to review an asset before atransaction to minimize the risks associated with the acquisition by detecting weaknesses and verifythe asset's characteristics. Vid millennieskiftet stod det klart att två av Europas största mejeriföretag skulle fusioneras ihop till ett företaget. Svenska koncernen Arla och den danska MD Foods gick ihop i en så kallad merger of equals vilket innebär att fusionen äger rum mellan likvärdiga parter.Efter fusionen går det att ifrågasätta om fusionen verkligen blev jämn. Traditionally, the majority of Swedish public libraries have carried out most of their acquisitions through Bibliotekstjänst's binding booklets. In recent years, however, many libraries have complemented the binding booklets and other services from Bibliotekstjänst by other ways of acquiring books, such as Internet bookshops, while other libraries have stopped using the binding booklets altogether. There are various reasons for this development, such as Information Technology making it possible for librarians to compare prizes and services from different retailers. Another important reason is the need for public libraries to meet new needs from their patrons, while remaining on a restrained budget, which often causes a need for reorganization of staff and resources.As a way of meeting the new needs for libraries, Bibliotekstjänst has created Profile Services (profiltjänster), a service in which a library outsources its acquisitions to Bibliotekstjänst. The staff of the library, in dialogue with Bibliotekstjänst, design a profile for the acquisitions for the library in question, in order to determinate which types and genres of literature the library and its patrons are requesting.

Att rusta sin borg. Förvärv och bibliotekssamling i Vadstena kloster 1374-1595. En studie av resterna.

This paper is a study of Vadstena monastery's book acquisitions and book collection 1374-1595. Studying catalogue descriptions of manuscripts and incunabula in Uppsala University library, the author has aimed to examine the development over a period of time, concentrating on way and place of acquisition, and desired types of texts.A short description and history of the monastery and its library is given. The study opens with the author stating there must have existed a plan for the book acquisitions and collection. A survey investigation shows, that the usable material is too small and somewhat nonrepresenta­tive of the monastery library to form a basis for a fair analysis. Further investigations give material to form a basis for some careful statements, saying that book production and also acquisitions concentrated on sermons literature, and that this type dominated the library collection throughout the time of development, followed by the philosophical-theological university literature..

This essay focuses on strategies for acquisitions in Swedish publiclibraries. The topic has been occuring in the public debate off andon since the70s. The dominant view has been that librarians haveallowed demand direct the purchases of media and thus haveignored quality literature.This debate has caused me to reflect on the librarians constantdilemma when purchasing media. Are they supposed to chooseliterature that are in demand, or should an evaluation made bylibrarians be the decisive?The previous research has shown that the library profession istraditionally characterized by a non-judgmental approach.
