Bakgrund: Företagens roll i samhället håller på att förändras. En möjlighet för företag att bidra till en utveckling som är långsiktigt hållbar: ekonomiskt, socialt och ekologiskt kan uppnås genom Corporate Citizenship ? företaget som den goda medborgaren. Syfte: Syftet med denna uppsats är att utreda och skapa förståelse för begreppetCorporate Citizenship och dess framväxt från ett strategiskt perspektiv, samt attstudera hur och varför företag arbetar med Corporate Citizenship. Genomförande: En litteraturgenomgång inom området Corporate Citizenship har genomförts.

The new Swedish Companies Act allows Swedish companies to issue two instruments that were previously prohibited: mandatory convertibles and participating debentures. The aim of the thesis is to conduct a cross sectional study of Swedish corporate hybrid securities, especially in the light of the new Companies Act. The cross sectional study also includes areas such as credit rating, accounting and tax. The thesis concludes that it is possible, under Swedish law, to issue corporate hybrid securities that qualify for both high equity credit and tax deductible interest payments. The use of certain hybrid provisions are, however, restrained by Swedish company law.

Företagets framgång avgörs i hög grad av kvalitén på de beslut som fattas med avseende på de värdeskapande aktiviteterna. Finansieringsbeslutet innefattar sammansättningen av kapitalstrukturen dvs. andelen eget kapital och skulder som finansierar verksamheten. Inom corporate finance finns ett antal teorier som förklarar denna sammansättning och mest känd är Miller & Modiglianis teori om kapitalstrukturens irrelevans för maximering av bolagets värde.

Year 1996 a new law was introduced in Sweden, the law of corporate restructuring, what purpose was to help companies in financial distress. Now, nine years later the procedure hasn?t been successful. This is what this thesis is trying to find out.This thesis main question is: What distinguishes the companies that have filed for a corporate restructuring, according to the financial position?The purpose of this thesis is to find out if key ratios can be used to distinguish the companies that filed for corporate restructuring.

The corporate opportunity doctrine constitutes a prohibition for the directors and officers of a company to pursue for themselves any opportunity which falls within the scope of the corporation?s business. In Swedish law the doctrine has not yet seemed to attract any greater attention. This doctrine has been the focus of a multitude of cases in a both American and English law, however mainly in the America law. Therefore, the American legal framework can serve as guidance in trying to define the doctrine as it has developed, or perhaps more correctly not developed, in national law.The perhaps most crucial question to be answered in the area of corporate opportunities is how the law indentify an opportunity as a ?corporate? one.

In this study we have focused on how board work is affected by companies growth and development. This research has been conducted through a case study of Teleopti AB, a private Swedish family-owned company, together with theory and literature studies. We have studied the development of Teleopti since its founding in 1992 until today and what impact this company's development has had on Teleopti's board work and composition during the same period. Through the study we came to the conclusion that Teleopti's board work has gone from being supportive and advisory to more professional with a higher degree of board involvement. This change has been caused by the reduced information asymmetries, the increased need for board's expertise, the new board dynamics and the CEO change caused by the company's growth..

Syftet med vår uppsats är att undersöka och analysera hur en koncern via Corporate Branding integrerar och implementerar ett redan existerande koncept i ett förvärvat företag/kedja. Då Corporate Branding handlar om att bygga upp, förstärka och förmedla ett affärskoncept till både interna och externa intressenter, har vi, för att ge en heltäckande bild av processen, valt att undersöka och analysera båda dessa aspekter. Vår problemformulering bestod bland annat av följande frågor; Vilka förändringar har uppstått vid förvärvet? Vad händer med ett företags organisationsstruktur, kultur och identitet inför och efter ett förvärv? Hur har det förvärvande företaget använt sig av Corporate Branding för att implementera ett existerande affärskoncept i vårt fallföretag? Vilka reaktioner har uppstått internt och externt i samband med förvärvet? Hur skiljer sig de båda affärskoncepten från varandra? Vi har genomfört en kvalitativ fallstudie, samt en kvantitativ studie i form av enkätundersökning. Teorikapitlet är uppdelat i fyra delar och består av organisationsstrukturer, förvärvsteorier, intern samt extern Corporate Branding.

During the past two decades a new expression has emerged in Swedish business linguistics: Styrelseproffs (appr. Board Professional). The aim of this paper is to study whether a board member legitimately can be considered a professional. This is investigated through the eyes of the theoretical framework of professionalization. The empirical data is collected through interviews and presents the perspective of people considered to be Board Professionals.

Sustainability reporting in Sweden is a voluntary disclosure action for non-governmental companies. Since 2009 all state-owned companies must however publish a sustainability report according to GRI guidelines and with independent assurance statement. Three different sustainability reporting methods are primarily used: (1) Separate Sustainability Report, (2) Sustainability Report included in the Directors? Report, and (3) Sustainability Report forming part of the Printed Annual Report. The aim of this paper is to explore why some companies choose to publish a sustainability report and identify the motivational factors behind this decision, as well as attain an understanding for companies? choice of reporting method.

In this study we have focused on the operational management of the public pre-school in Sweden. We have studied how the governance system is designed, why it is designed this way and what impact it has on the operational management. This has been analyzed from a theory stating that there are two types of organizations: pay-driven and function-driven. Through a case and document study we came to the conclusion that the pre-school is a function-driven organization but is nowadays acting on a market and have adopted characteristics of a pay-driven organization. We connect this change to the phenomenon New Public Management.

If P&C Insurance Company faces a challenge when their treasury system needs a new interface to a software as a service application. They need a suggestion for configuration for how the system and the application can work together. The work presented in this report is a suggestion for how you can make business configuration of an IT-based Treasury System in general. The exact configuration for the case received from If is presented as a separate report, found in Appendix A and is called the If-report. The If-report presents the suggested technical set-up of the configuration.

Bredbandsutbyggnaden i Sverige sker med rasande fart och på landsbygden sker den med hjälp av lokala krafter. Den här kandidatuppsatsen inom ämnet landsbygdsutveckling syftar till att undersöka hur en fiberförening i Värmland har organiserat sig och hur människor har upplevt och påverkats av etableringen. För att uppnå detta görs en kvalitativ intervjuundersökning med sex personer i Västerrottna, som har varit mer eller mindre engagerade i projektet. Materialet analyseras med fokus på socialt kapital och governance. Resultaten visar att drivkrafterna bakom varför man väljer att mobilisera sig skiljer sig åt, samtidigt som tillit, nätverk och mötesplatser är viktiga delar i bredbandsetableringen..

Inom Svensk hälso- och sjukvård sker en stor förändring i IT-infrastruktur. En nationell tjänsteplattform som ska möjligt delning av information mellan vårdgivare i olika regioner har implementerats. Flera landsting och regioner har implementerat liknande arkitekturer lokalt för att uppnå samma effekt även internt, men också för att underlätta uppkoppling till den nationella lösningen.Genom en kvalitativ fallstudie undersöker denna uppsats implementationen av en regional tjänsteplattform i Stockholms Läns Landsting med fokus på styrning. I en teoretisk undersökning behandlas teorier gällande IT inom offentlig hälso- och sjukvård, IT-governance, SOA och SOA-governance.Syftet med studien är att analysera och utvärdera teorier gällande SOA-governance i relation till styrning av en regional tjänsteplattform inom offentlig hälso- och sjukvård och på så sätt bidra till utveckling av aktuella teorier genom en diskussion gällande dess användbarhet inom en specifik sektor. Jag syftar också att bidra till utveckling av den studerade verksamheten genom att identifiera/prognostisera möjligheter och problem med aktuella styrningsstrukturer.Resultaten indikerar att utmaningar för att etablera SOA-governance inom offentlig hälso-och sjukvård främst härstammar ur organisationens natur.

The Internet protocol of today has been used for over 20 years. A new version of the protocol has been developed to replace the old one. This is a direct result due to the explosive growth of the usage of the Internet. This follows by new demands which needs new solutions. This report brings up the old protocol IPv4, the new protocol IPv6 and shows what kind of changes that has been developed to meet the users demand.The report brings up two important aspects; internet security and mobility.
